1. INTRODUCTION

1.1 These General Terms of Use & Trade ("Terms") govern:

  1. all trading transactions, purchases, sales, sell-backs, withdrawals, redemptions and physical delivery arrangements conducted with FINMET PTE. LTD. (UEN 202022529N) (the "Company", "we", "us" or "our");
  2. access to and use of the Company website at finmet.sg and any related digital platform, customer account, price checker, pricing tool, checkout, dashboard, notification, support channel or other online service (collectively, the "Website"); and
  3. all purchases, sales and holdings of Allocated Gold and any related physical gold products or services offered by the Company.

1.2 These Terms apply together with any order confirmation, invoice, receipt, payment instruction, delivery instruction, account notice, product page, fee schedule, privacy policy, compliance notice or other written terms issued by the Company, including any Delivery Fee Invoice, Handover Record or Redemption Note. If a separate written agreement expressly applies to a specific service, that separate agreement will prevail to the extent of any inconsistency. In the event of any inconsistency between these Terms and an order confirmation or the fee schedule, the order confirmation prevails for the relevant transaction, followed by the fee schedule, followed by these Terms. A Handover Record or Redemption Note records the matters set out in Clauses 9.6C and 9.6D and does not vary these Terms.

1.3 By placing an order, locking a price, opening or using an account, buying, holding, selling, withdrawing, redeeming or requesting delivery of Allocated Gold or physical gold, the Customer agrees to be legally bound by these Terms.

1.4 By accessing or using the Website, the Customer confirms that the Customer accepts and agrees to be bound by these Terms, including the Website-use provisions below.

1.5 The Company may decline to provide any service, suspend account access, delay fulfilment, request additional information or refuse any transaction where the Company considers it reasonable or necessary to do so for legal, regulatory, compliance, payment, market, operational, security or risk-management reasons.

1.6 Eligibility: Accounts on the Website are available only to natural persons who: (a) are at least 18 years of age; (b) hold a valid, active Singpass account with access to Myinfo; (c) maintain a PayNow proxy (NRIC/FIN or Singapore mobile number) linked to a Singapore bank account held in their own name; (d) are not undischarged bankrupts; and (e) have full legal capacity to contract. The Company does not open Website accounts for companies, partnerships, trusts or other entities, and does not offer joint accounts. The self-service buy, Sell-back and Redemption functions are therefore available to natural persons only. Corporate entities may nonetheless contact the Company at info@finmet.sg to discuss bespoke orders. Any such order is arranged directly with the Company outside the Website, and is subject to separate onboarding, customer due diligence, pricing and written terms agreed with the Company in each case. The Customer must notify the Company promptly if the Customer ceases to satisfy any of these criteria, in which case Clause 12.7 applies.

2. DEFINITIONS

In these Terms, unless the context otherwise requires:

"Risk Management Execution" means execution, sourcing, hedging, liquidation or unwinding activity that the Company reasonably determines to be appropriate for managing its own market exposure, liquidity, inventory, counterparty risk, payment risk or operational requirements. It does not impose any duty to obtain the best available market price for the Customer.

"Account" means the Customer's account with the Company, including all associated records, Gold Balance, transaction history and settings, established upon successful registration and verification in accordance with Clause 1.6 and Clause 12.1.

"AML/CFT/CPF" means anti-money laundering, countering the financing of terrorism and countering proliferation financing, and references to AML/CFT/CPF requirements, checks, controls or obligations are to be construed accordingly.

"Business Day" means a day, excluding Saturdays, Sundays and Singapore public holidays, on which banks in Singapore are open for business.

"Cleared Funds" means funds received by the Company via PayNow (SG QR payment) or such other payment method as the Company accepts, treated as cleared upon settlement and completion of the Company's payment, AML/CFT/CPF, sanctions, fraud or source-of-funds checks, and (in the case of PayNow) immediately available, unconditional, irreversible and free of set-off or chargeback risk to the Company, subject to the applicable verification provisions in Clause 6.2.

"Customer" means any individual who accesses the Website, opens or holds an account, places an order, transacts with the Company or gives instructions to the Company, subject to the eligibility criteria in Clause 1.6.

"Delivery Fee Invoice" means the invoice that the Company emails to the Customer when a Redemption request is confirmed under Clause 9.6, for the collection (pickup) fee or delivery fee payable on that Redemption, recording its payment and quoting the order ID of that Redemption.

"Allocated Gold" means physical gold of 99.99% purity (999.9 fineness) owned by the Customer, allocated to the Customer against identified bars, held by the Company on the Customer's behalf and recorded in the Customer's account, subject to these Terms and the Company's records.

"Goods" or "Physical Gold" means physical 99.99% purity gold bars (including Swiss-made one (1) gram bars, being the individually hallmarked units of divisible CombiBars produced by Valcambi SA of Switzerland, a refiner accredited to the LBMA Good Delivery List, and bars of other weights handed over on Redemption under Clause 9.6A, which are produced by a refinery accredited to the LBMA Good Delivery List and may be produced by a refinery other than Valcambi SA), bullion or other gold products offered, sourced, held, allocated, sold, redeemed or delivered by the Company.

"Gold Balance" means the gram-denominated digital balance shown in a Customer account or other Company record as representing Allocated Gold credited to the Customer after acceptance, payment and allocation by the Company.

"Handover Record" means the record of the handover of Goods on self-collection, including the serial number, refinery and weight of each bar handed over, completed and signed by the Customer and a representative of the Company in accordance with Clause 9.6C.

"Order" means any request, instruction or transaction to buy, sell, sell back, redeem, withdraw, deliver, transfer, allocate or otherwise deal with Allocated Gold or Goods.

"Price Lock" means the moment at which the Company confirms acceptance of an Order and fixes the transaction price or applicable pricing formula for that Order.

"Quote Hold" means the five (5) minute period following submission of a Website Order during which the quoted price is held and no binding contract is formed, as described in Clause 4.1.

"Redemption Note" means the note that the Company emails to the Customer after Goods have been handed over under Clause 9.6C, confirming the completed Redemption, including its order ID, the date and time of handover, the bars handed over, the one (1) gram bars deallocated under Clause 9.6A, the total weight of gold redeemed and the fee paid.

"Sell-back" means the sale of Allocated Gold or Goods by the Customer back to the Company, where accepted by the Company and subject to the Company's applicable pricing, fees, payment and compliance checks.

"Vaulting Provider" means the independent certified professional vaulting and custody provider located in Singapore and appointed by the Company from time to time to hold Customer gold, together with any other vault, custody, storage, logistics, insurance, bullion, refinery or related third-party provider appointed or used by the Company from time to time.

"Website Order" means an Order placed by the Customer through the Website's online checkout or ordering function, as opposed to any other Order channel the Company may make available from time to time.

"Redemption" means a Customer request to receive Goods in respect of Allocated Gold by self-collection or, where made available by the Company, by delivery, in accordance with Clause 9.6. "Withdrawal" means the realisation of a Gold Balance by Sell-back or Redemption.

3. REGULATORY STATUS

3.1 The Company operates from Singapore and will comply with the Precious Stones and Precious Metals (Prevention of Money Laundering, Terrorism Financing and Proliferation Financing) Act 2019, related regulations, sanctions requirements and AML/CFT/CPF requirements to the extent applicable to its business and services. The Company is registered as a regulated dealer under the Precious Stones and Precious Metals (Prevention of Money Laundering, Terrorism Financing and Proliferation Financing) Act 2019 (Registration No. PS20240000367) for anti-money-laundering and counter-financing-of-terrorism supervision purposes only. If registration, exemption or other approval is required for any further activity, the Company may make such activity conditional on registration, exemption, approval, legal review or operational readiness.

3.2 For the avoidance of doubt, unless expressly stated in writing by the Company and permitted by applicable law, the Company:

  1. is not a bank, finance company, deposit-taking institution or trustee for customer deposits;
  2. is not licensed, authorised, approved or regulated by the Monetary Authority of Singapore as a bank, finance company, payment service provider, capital markets services licensee, financial adviser, recognised market operator, approved exchange, clearing facility or digital payment token service provider;
  3. does not accept or take deposits from customers or the public, whether as a deposit-taking institution or otherwise;
  4. does not operate an exchange, market, order book, clearing facility, collective investment scheme or investment fund; and
  5. does not provide financial, legal, tax, accounting or other regulated advice, recommendations or opinions.

3.3 Allocated Gold is intended to represent the Customer's interest in allocated physical gold. Allocated Gold is not intended to constitute fiat currency, electronic money, a deposit, a bank account, a stored-value facility, a security, a derivative contract, a collective investment scheme, a unit in a fund or any other regulated financial product unless expressly stated by the Company and supported by the necessary regulatory basis.

3.4 Where Allocated Gold, certificates, records or entitlements are treated as precious-metal products or asset-backed tokens under applicable law, the Customer acknowledges that the Company may apply regulatory and AML/CFT/CPF requirements, including customer due diligence, record keeping, transaction monitoring, reporting and restrictions on dealing.

3.5 The Customer is responsible for obtaining independent legal, tax, financial and other professional advice before entering into any transaction. Nothing on the Website or in any Company communication should be relied on as advice or a recommendation to buy, sell, hold, redeem, deliver or otherwise deal in gold.

3.6 Industry Standards

The Company observes the retail gold principles developed by the World Gold Council, covering fairness and integrity, transparency, protection of customer assets, responsible gold sourcing, regulatory compliance, commercial prudence and operational professionalism. Adherence to these principles is a best-practice framework only and does not constitute certification, approval or endorsement by the Singapore Bullion Market Association (SBMA), the World Gold Council, or any regulatory authority, and does not constitute regulation, authorisation or supervision by any of them.

4. CONTRACT FORMATION & PRICE LOCK

4.1 A binding and legally enforceable contract is formed as follows:

When a buy or Sell-back Order is placed through the Website, the five (5) minute period following Order submission functions as a "Quote Hold" during which the quoted price is held and no binding contract is formed. For a buy Order, a binding and legally enforceable contract is formed, and Price Lock occurs, only upon successful receipt of payment via PayNow within the Quote Hold (as subsequently verified in accordance with Clauses 6.2 and 6.8) and the Company's transmission of a confirmation acknowledging the Order and fixing the transaction price at the price held during the Quote Hold. If payment is not received within the Quote Hold, the quote lapses, no contract is formed, and any payment received is dealt with under Clause 6.3. For a Sell-back Order, a binding and legally enforceable contract is formed, and Price Lock occurs, when the Customer confirms the Sell-back within the Quote Hold and the Company transmits a confirmation acknowledging the Order and fixing the transaction price at the price held during the Quote Hold; if the Customer does not confirm within the Quote Hold, the quote lapses and no contract is formed. A Redemption request is not subject to a Quote Hold and is confirmed in accordance with Clause 9.6.

4.2 Upon Price Lock:

  1. the transaction price, or the pricing formula stated in the confirmation, becomes final and binding on the parties and supersedes any prior indicative quote, displayed price, website price, estimate or communication;
  2. the transaction becomes irrevocable, subject only to the Company's rights under these Terms;
  3. the Customer assumes full market risk, including the risk of price movements after Price Lock; and
  4. the Company may immediately source, allocate, reserve, hedge, offset, unwind or otherwise manage its gold, payment, inventory, market or operational exposure.

4.3 Any request or attempt by the Customer to withdraw, cancel, reverse, return, exchange or amend an Order after Price Lock may be accepted by the Company at its discretion. No additional cancellation fee applies to a cancelled Order; however, the Customer remains liable for the Company's actual and evidenced market losses, hedging or unwind costs, payment costs, administrative costs and third-party costs incurred in connection with the cancellation. For the avoidance of doubt, the failure to complete payment within the Quote Hold does not constitute a cancellation and gives rise to no such costs.

4.4 All Orders remain subject to acceptance by the Company. The Company may impose minimum or maximum transaction sizes, account limits, rate-lock limits, availability limits, compliance requirements, payment method restrictions, delivery restrictions or other conditions from time to time. Orders are denominated in whole grams of gold, and the minimum Order size is one (1) gram.

5. PRICING

5.1 Prices quoted or displayed before Price Lock are indicative only and may change without notice due to movements in gold prices, foreign exchange rates, data feeds, supplier pricing, bar premiums, payment charges, availability, taxes, duties, logistics costs or other market and operational factors. Outside international bullion market trading hours (including weekends), displayed prices may be derived from alternative reference sources and may reflect a wider difference between buy and sell-back prices.

5.1A Weekend pricing surcharge: A surcharge of two per cent (2%) is applied to both the live buy price and the live Sell-back price quoted by the Company during the weekend pricing window, to account for the increased volatility and reduced liquidity that arise while international bullion markets are closed. The weekend pricing window runs from 5:00 pm Eastern Time on Friday until 6:00 pm Eastern Time on Sunday, which corresponds to 6:00 am on Saturday until 7:00 am on Monday Singapore time while Eastern Standard Time is in effect, and 5:00 am on Saturday until 6:00 am on Monday Singapore time while Eastern Daylight Time is in effect. Consistent with Clause 5.3, the surcharge forms part of the all-in price per gram displayed to the Customer and is not itemised separately. Prices displayed during the weekend pricing window remain indicative under Clause 5.1 and become fixed only upon Price Lock.

5.1B Suspension of trading in volatile conditions: The Company may temporarily suspend or restrict the buying and Sell-back of gold, in whole or in part, during periods of extreme market volatility, disorderly or fast-moving markets, abnormal or unreliable pricing, the failure or material disruption of a price feed, or a loss of liquidity or hedging capacity. A suspension may apply to buy Orders, to Sell-back Orders, or to both, and may apply generally or to particular Order sizes. Where practicable the Company will publish notice of a suspension on the Website, and will resume trading as soon as the Company reasonably considers that conditions permit. A suspension does not affect any Order for which Price Lock has already occurred, which remains fixed and binding under Clause 5.2, and does not affect the Customer's ownership of Allocated Gold under Clause 8.1 or the Customer's right to request Redemption of Allocated Gold under Clause 9.6. This Clause is without prejudice to the Company's broader rights under Clauses 1.5 and 9.8.

5.2 Upon Price Lock, the transaction price or pricing formula becomes fixed and binding for that Order, subject to the Company's rights to correct errors and to the Customer fulfilling all payment, verification and compliance requirements.

5.3 Prices quoted by the Company for the purchase and Sell-back of Allocated Gold are all-in prices per gram, inclusive of the Company's costs and margin. The Company is not obliged to disclose, and does not disclose, the individual components from which a quoted price is derived. Charges payable separately from the traded price, such as storage after the Free Storage Period, delivery, administrative or other charges, are disclosed separately. The applicable price and any such charges are those confirmed at Price Lock or stated in the relevant confirmation, invoice, fee schedule or product page. The gold sold by the Company is intended to qualify as "IPM" under the Goods and Services Tax Act, and such qualifying supplies are exempt from GST. The Company is not registered for GST and accordingly does not charge, collect or account for GST on any supply, including ancillary charges such as collection, delivery, storage or administrative charges. If the Company becomes registered for GST in future, GST on any non-exempt charge will be separately identified and payable by the Customer, and prices and charges will be adjusted prospectively in accordance with Clause 17.5.

5.4 The Company reserves the right, acting reasonably and based on an objective standard, to correct any manifest trading, pricing, or administrative error. A manifest error is defined as an error that a reasonable person in the same circumstances would have identified as such at the time of the transaction.

5.5 Where the Company identifies a manifest error, it will notify the Customer of the error and the corrected price or terms immediately.

5.6 Upon receiving such notice, the Customer may choose to either (a) proceed with the transaction at the corrected price or terms, or (b) cancel the affected transaction without any cancellation fees, penalties or other costs. This choice must be communicated by the Customer immediately upon notice and before the completion of payment. Where a manifest error is identified after payment or crediting, the Company may correct the error by adjusting the affected transaction to the corrected price or by reversing the transaction with a full refund, and will, where practicable, offer the Customer the choice described above.

5.7 All transactions are priced, executed and settled in Singapore dollars (SGD). Where the Website displays prices or values in any other currency, such figures are indicative conversions for reference only, are based on third-party exchange rates, and do not constitute an offer to transact in that currency. If any conversion is required for payment, the applicable exchange rate, bank rate, card network rate or payment-provider rate may be determined by the Company or relevant third-party provider.

6. PAYMENT TERMS

6.1 Unless otherwise agreed by the Company in writing, the Customer must ensure that payment in full is made via PayNow and received by the Company within the Quote Hold. Verification and the treatment of payments as Cleared Funds are governed by Clauses 6.2 and 6.8.

6.2 For PayNow (SG QR payment), such payments are treated as Cleared Funds upon successful receipt and verification by the Company.

6.3 Late, mismatched or duplicate payments: If a payment is received after the Quote Hold has lapsed, in an amount that does not match the Order, or in duplicate, no contract is formed in respect of that payment or excess. The Company will refund the relevant amount to the source account within three (3) Business Days of completing its checks, without interest. The Company may at its discretion instead offer to complete the Order at the original or a re-quoted price, which the Customer may accept or decline for a full refund. The Company is not liable for market movements between receipt and refund. Payments from accounts not in the Customer's own name are dealt with under Clause 6.7 and returned to the source account.

6.4 All payments must be made in full, without deduction, set-off or counterclaim, and free of bank charges, card fees, payment-provider fees, transfer fees or intermediary charges. The Customer is responsible for ensuring that the Company receives the full invoiced amount in Cleared Funds.

6.5 Unless otherwise agreed by the Company in writing, the Company may apply any payment, refund, sale proceeds or other amount received from or payable to the Customer toward any outstanding amount owing by the Customer to the Company, in such order and manner as the Company considers appropriate. The Company does not hold cash balances for Customers; sale proceeds and refunds are held only transiently pending payout or completion of the Company's checks, and no interest is payable by the Company on any amount held transiently under this Clause 6.5.

6.6 The Customer is responsible for all applicable taxes, duties, levies, GST (if and to the extent chargeable, having regard to Clause 5.3), VAT, import or export duties, customs charges, clearance charges, bank charges, payment charges, gateway fees, card charges, transfer fees, currency conversion charges, delivery charges, storage charges, insurance charges, third-party charges and other costs arising out of or in connection with any transaction, payment, withdrawal, redemption, delivery, collection, transfer, storage, custody arrangement or related service, unless otherwise agreed by the Company in writing.

6.7 All payments must be made from an account, card or payment method held in the Customer's own name, unless otherwise approved by the Company in writing. The Company may reject, delay, hold, return or refuse to apply any payment where the payer, remitter, account holder, payment source, beneficial owner, source of funds or source of wealth cannot be verified to the Company's satisfaction, or where the payment may give rise to legal, regulatory, AML/CFT/CPF, sanctions, fraud, operational or reputational concerns.

6.8 Any payment that is subject to verification, rejection, delay, holding, return, chargeback or refusal shall not be treated as received in Cleared Funds, accepted or applied by the Company unless and until the Company has completed its checks and accepted or applied the payment.

6.9 The Company may require the Customer to provide supporting documents or information relating to the payer, remitter, payment source, source of funds, source of wealth, beneficial owner, purpose of transaction or relevant bank or payment account. The Company shall not be liable for any delay, price movement, cancellation, loss, cost or consequence arising from verification, rejection, delay, holding, return or refusal, except to the extent such liability cannot be excluded under Singapore law.

6.10 All payouts to the Customer will be made exclusively to a PayNow proxy (NRIC/FIN or mobile number) registered in the Customer's own name and verified against the Customer's Myinfo record, to prevent misuse of funds and protect against unauthorised access. If a Customer requires assistance or wishes to update their PayNow proxy, they must submit a request to the Company; any such update will be completed by way of a fresh Myinfo pull rather than free-typed details, consistent with Clause 12.1. Any such change request is subject to the Company's verification process, and the Company reserves the right to decline or request additional information before approving any update. Before releasing any payout, the Company will verify that the PayNow proxy resolves to an account name matching the Customer's verified name; where the names do not match or the payout fails, Clause 6.13 applies. This Clause 6.10 is subject to Clauses 12.7, 17.6, 17.7, 17.7A and 17.7B, under which payouts may, in the circumstances described in those Clauses, be made by bank transfer to a verified account other than the Customer's PayNow proxy.

6.11 Settlement timing: Sell-back proceeds are normally paid to the Customer's verified PayNow proxy within minutes of execution and, in any event, within up to forty-eight (48) hours following execution, subject to Clauses 6.8, 6.10, 12.3 and 12.5. Allocated Gold purchased is normally credited to the Customer's Gold Balance promptly upon receipt of Cleared Funds, and physical allocation of the corresponding gold is completed automatically upon receipt of Cleared Funds where the Company then holds sufficient unallocated stock of the relevant bar denomination, and otherwise within a period of up to two (2) weeks thereafter.

6.12 Recalled, reversed or frozen funds: If, after Allocated Gold has been credited or any payout has been made, a payment received by the Company is reversed, recalled, frozen, restrained or otherwise clawed back by any bank, payment scheme, law-enforcement or other authority, or is determined to be unauthorised or fraudulent, the Company may: (a) cancel or reverse the corresponding credit; (b) suspend the Account; (c) sell or liquidate a corresponding quantity of Allocated Gold or Goods; and (d) recover from the Customer any resulting shortfall together with reasonable costs. The Customer shall indemnify the Company against losses arising from payments that are subsequently reversed, recalled or established to be unauthorised or unlawful.

6.13 Payout failure and unclaimed amounts: If a payout to the Customer's verified PayNow proxy fails, including because the proxy has been deregistered, the underlying bank account has been closed, or the account name returned by the proxy lookup does not match the Customer's verified name, the Company will hold the relevant amount as a non-interest-bearing debt owing to the Customer pending re-verification under Clause 6.10 or, where a Myinfo pull is not possible, Clause 12.7. The Company may deduct reasonable administration costs incurred in extended tracing efforts. Unclaimed amounts are dealt with in accordance with applicable law.

7. CANCELLATION & RECOVERY

7.1 Upon cancellation of an Order under Clause 4.3 or these Terms, the Company may, without prejudice to any other rights or remedies:

  1. cancel, reverse, suspend, reject, terminate or refuse the transaction or account;
  2. sell, source, reallocate, hedge, offset, unwind or otherwise deal with any Allocated Gold, Goods, inventory or market exposure related to the transaction;
  3. recover all market losses, hedging or unwind costs, administrative costs, financing costs, payment costs, legal costs, logistics costs, storage costs, insurance costs, taxes, duties, customs charges, recovery costs and other third-party costs; and
  4. set off or apply any Gold Balance, sale proceeds, payment, credit balance or other amount owed to the Customer against any amount owed by the Customer to the Company.

7.2 When mitigating market exposure, unwinding positions, sourcing gold, selling gold or managing inventory, the Company acts for its own account by way of Risk Management Execution and is not obliged to obtain the best available market price for the Customer. Any reference to Risk Management Execution relates solely to the Company's own risk-management and execution activities.

7.3 Except where required by applicable law or expressly agreed by the Company in writing, and subject to the Customer's statutory rights regarding defective or non-conforming goods, all transactions are final upon Price Lock. The Company does not offer refunds, returns or exchanges after a transaction has been entered into. If Goods are found to be defective, not of satisfactory quality, or not in accordance with the description (e.g., incorrect product, under-weight, or under-fineness), the Customer is entitled to a remedy, which may include replacement or refund, subject to verification. Any request to reverse, return, exchange or amend a transaction after Price Lock shall otherwise be subject to the Company's market-loss, hedging or unwind cost, administrative cost and other applicable provisions under these Terms.

7.4 Without prejudice to any other rights or remedies, the Company shall have a lien and right of retention over any Allocated Gold, Gold Balance, Goods, documents, proceeds or other property held by or on behalf of the Company for any outstanding amount owing to the Company in connection with the relevant Goods, Allocated Gold, transaction, account or related service.

7.5 If an outstanding amount remains unpaid after reasonable notice, the Company may, to the fullest extent permitted by law, sell, transfer, redeem, liquidate or otherwise dispose of such Allocated Gold or Goods, or such part as reasonably necessary, and apply the proceeds toward the outstanding amount and reasonable related costs. Any remaining balance shall be credited to the Customer or dealt with in accordance with applicable law.

8. TITLE & RISK

8.1 Proprietary interest in Allocated Gold or Goods transfers to the Customer only after the Company has received full Cleared Funds, accepted the Order, completed required checks and recorded the relevant allocation, credit or confirmation in the Company's records.

8.2 Custody: The Company holds all Customer Allocated Gold and allocated Goods as custodian for the Customer. All Customer gold is at all times segregated from the Company's own assets and is not available to the Company's creditors. In the event of the Company's insolvency, administration, or other similar proceeding, the Customer's gold shall not form part of the Company's estate, and the Customer shall retain full proprietary title and rights to reclaim their specific allocated gold, subject to any outstanding charges or obligations to the Company. Customer holdings are recorded in a designated subaccount and customer-level records maintained by the independent Vaulting Provider under the Company's account.

8.2A Appointment and consent to storage: By placing an Order, the Customer appoints the Company as custodian of the Customer's Allocated Gold and authorises the Company to arrange for that gold to be held on the Customer's behalf by the Vaulting Provider, and to change, add or replace the Vaulting Provider from time to time acting reasonably. The Customer acknowledges and agrees that storage commences automatically upon allocation, without further instruction, and continues on the terms of Clause 9.7 until the Allocated Gold is sold back, redeemed, delivered, collected or otherwise transferred out. The Customer further authorises the Company and the Vaulting Provider to move, consolidate, re-allocate or substitute bars within the vault where necessary for operational, security, denomination or redemption purposes, provided that the total fine gold weight owned by the Customer is not thereby reduced and the Customer's title under Clause 8.1 continues uninterrupted.

8.3 Until the conditions in Clause 8.1 are satisfied, the Customer has no title, beneficial interest, proprietary claim, delivery right, withdrawal right or other enforceable claim to any specific Allocated Gold, Gold Balance, Goods or physical gold arising from the Order.

8.4 A Gold Balance represents the Customer's interest in allocated physical gold. For each Order, the Company will confirm the specific allocation details for the physical gold held for the Customer's account. Each whole gram of a Customer's Gold Balance corresponds to an identified one (1) gram bar (or other identified bar) allocated to the Customer and recorded in the records of the Company and the Vaulting Provider. The Company may make available means for Customers to verify their holdings, directly or through the Vaulting Provider.

8.5 Risk passes to the Customer:

  1. for Allocated Gold credited to the Customer account, upon crediting or allocation in the Company's records;
  2. for physical collection, upon handover of the Goods to the Customer in accordance with Clause 9.6C, as recorded in a Handover Record signed by the Customer (or, where Clause 17.7, 17.7A or 17.7B applies, upon handover to the person entitled to receive the Goods under that Clause);
  3. for delivery, where delivery is made available under Clause 9.6(b): in the case of standard delivery within Singapore, upon delivery to the Customer's nominated delivery address against acknowledgment of receipt, and in the case of any non-standard delivery arrangement requested by the Customer, upon handover to the relevant courier, logistics provider or delivery provider; or
  4. for transfer to another custody or vaulting arrangement, upon dispatch or transfer to the Customer's nominated account, vault or third-party provider.

8.6 Vaulting services provided by the Vaulting Provider are fully insured under an all-risks specie policy covering the full replacement value of the physical gold. Details of this insurance cover are available for review on the Website. The Vaulting Provider's facility is located in the eastern region of Singapore. For security reasons the Company does not publish the precise address of the vault, and the Customer acknowledges that the Company is under no obligation to do so. Transit, storage, or delivery insurance, where arranged, remains subject to the specific terms, conditions, limits, and exclusions of the relevant insurer, courier, logistics provider, storage provider, or Vaulting Provider.

8.7 The Company may require the Customer, any authorised representative or any person collecting, receiving, withdrawing, transferring or dealing with Allocated Gold or Goods on behalf of the Customer to provide identification documents, authorisation documents, collection instructions, delivery details, account verification, security verification or other information reasonably required by the Company before the Company releases, delivers, transfers or otherwise makes Allocated Gold or Goods available.

8.8 The Company does not lend, pledge, charge (other than the lien under Clause 7.4) or rehypothecate Customer Allocated Gold or allocated Goods, and does not use them for its own account.

8.9 The Company may delay, refuse or suspend any release, delivery, transfer, withdrawal, redemption or collection where verification is incomplete or unsatisfactory, or where the Company reasonably considers such action necessary for legal, regulatory, AML/CFT/CPF, sanctions, fraud-prevention, security, operational or risk-management reasons.

8.10 Sell-back holding period: Allocated Gold may be sold back at any time after twenty-four (24) hours from the time the relevant Allocated Gold is credited to the Customer's Gold Balance. This holding period forms part of the Company's fraud-prevention and AML/CFT/CPF controls.

8.11 Non-transferability: Save as expressly permitted by the Company in writing, a Customer's Gold Balance and Account are personal to that Customer and may not be transferred, assigned, pledged or otherwise dealt with in favour of any other person, whether another Customer or otherwise. The Company is under no obligation to recognise or give effect to any purported transfer.

9. DELIVERY & AVAILABILITY

9.1 Any delivery, collection, withdrawal, redemption, allocation or fulfilment date stated by the Company is an estimate only and does not constitute a contractual guarantee.

9.2 The Company shall use reasonable commercial efforts to meet estimated delivery and fulfilment timelines, subject to payment, verification, compliance checks, product availability, vaulting availability, logistics availability, market conditions, operational capacity and third-party provider performance.

9.3 The Company shall not be liable for delays arising from supplier shortages, bullion-market disruptions, refinery or mint delays, vaulting-provider delays, logistics disruptions, customs processes, insurance delays, payment-provider delays, systems issues, compliance reviews, market volatility or force majeure events.

9.4 Physical Goods are received by self-collection at a location designated by the Company. Delivery to an address within Singapore is not currently offered; when the Company makes it available under Clause 9.6(b), Goods may also be received by delivery to an address within Singapore. The Company does not ship Goods outside Singapore. Self-collection does not require a delivery address to be provided. If the Customer exports Goods after delivery or collection, the Customer is solely responsible for ensuring that the Goods may lawfully be exported, imported, received, held or dealt with, and for obtaining any required permits, licences, approvals, customs clearance or other authorisations.

9.5 The Customer shall be responsible for all taxes, duties, GST, VAT, import or export charges, customs charges, clearance charges, local authority charges, storage charges, penalties, fines, inspections, delays, seizures, refusals, returns, failed deliveries or other consequences arising out of or in connection with shipment, import, export, customs clearance or delivery, except to the extent caused by the Company's fraud, wilful misconduct or gross negligence.

9.6 Redemption of Allocated Gold for physical Goods is available for quantities of 10 grams or more, in whole multiples of 10 grams (for example, 10g, 20g, 30g), aggregated across the Customer's Gold Balance and in respect of Allocated Gold whose allocation under Clause 6.11 is complete. Holdings below 10 grams, or amounts not in a whole 10-gram multiple, may be realised through Sell-back. Redeemed Goods are received by: (a) self-collection at a location designated by the Company, which is subject to a collection fee of S$50.00; or (b) delivery to an address within Singapore, once the Company makes delivery available. Delivery is not currently offered; the Company will announce its availability on the Website, and once available, delivery is subject to a delivery fee of S$143.00. Where both methods are available, the Customer may elect either. The applicable fee is payable by PayNow when the Redemption request is submitted through the Website, and the Redemption request is confirmed when the fee is received as Cleared Funds. Each Redemption request is identified by an order ID, which is quoted on the Delivery Fee Invoice, the Handover Record and the Redemption Note. On confirmation, the Company will email the Customer a Delivery Fee Invoice, and the grams being redeemed are reserved for that Redemption and may not be sold back, redeemed again or otherwise dealt with while the Redemption is pending. As with allocation under Clause 6.11, a Redemption may take up to two (2) weeks from confirmation to be ready for collection. Once delivery is available, delivery is normally completed within a period of up to one (1) week following confirmation and readiness of the Goods; any delivery or collection timeline stated is an estimate only and subject to the provisions of Clause 9.1. When the Goods are ready, a representative of the Company will contact the Customer to arrange collection in accordance with Clause 9.6B. Customers may contact our support team via the Website or at info@finmet.sg with any questions about a Redemption.

9.6A Bar denomination and re-allocation on Redemption: The Customer's Gold Balance is ordinarily allocated against one (1) gram bars, whereas physical Redemption is fulfilled in larger bars, for example ten (10) gram or one hundred (100) gram bars, according to availability and, where possible, the Customer's preference. Accordingly, on confirmation of a Redemption request the Customer agrees to exchange the relevant allocated one (1) gram bars for bars of the same total weight of gold, and authorises the Company to give effect to that exchange. The Company will deallocate the relevant one (1) gram bars from the Customer's holding and, in their place, allocate to the Customer different identified bars which are (a) of the same total fine gold weight, (b) of the same purity (99.99%) and (c) produced by a refinery accredited to the LBMA Good Delivery List, which may be a refinery other than Valcambi SA, updating the records of the Company and of the Vaulting Provider accordingly. The exchange is made by weight and purity, gram for gram: it does not alter the total fine gold weight owned by the Customer, is not a sale, purchase, disposal or other dealing in the Customer's gold, and gives rise to no price, spread, fee or charge. The Customer's title under Clause 8.1 continues uninterrupted in the bars as re-allocated. The Customer acknowledges that the specific bars delivered or collected on Redemption will not be the same bars previously allocated to the Customer, may differ from them in bar weight and refinery, and that no right attaches to any particular bar, bar weight, refinery or serial number prior to Redemption. Where the Company does not then hold sufficient unallocated bars of the required weight, the re-allocation is completed within the period referred to in Clause 6.11 and the Redemption is fulfilled thereafter. The serial number, refinery and weight of each bar handed over are recorded in the Handover Record and confirmed in the Redemption Note.

9.6B Collection point: Self-collection under Clause 9.6(a) takes place by appointment at a collection point designated by the Company, currently The Hive Carpenter, 36 Carpenter Street, Singapore 059915. Where that collection point is not available, the Company will arrange collection through its registered office address or such other location as the Company notifies to the Customer before the Redemption request is confirmed. The Company may change the designated collection point from time to time, acting reasonably, and will notify the Customer of the applicable location when the collection appointment is arranged. When the Goods are ready for collection, a representative of the Company will contact the Customer to arrange a collection appointment at a time convenient to the Customer. Collection appointments are available from Monday to Friday only, excluding Singapore public holidays. Goods are released at the collection point only in accordance with Clause 9.6C.

9.6C Handover on self-collection: Goods are handed over on self-collection only to the Customer in person, against presentation of the Customer's original and valid NRIC or work pass card issued by the Ministry of Manpower, or the Digital IC in the Customer's Singpass app, which the Company will check against the Customer's Singpass-verified record under Clause 12.1, and the Company will record the Customer's full NRIC number or FIN in the Handover Record. Except where Clause 17.7, 17.7A or 17.7B applies, the Company will not hand over Goods to any other person, including an authorised representative. Before handover, the Customer may inspect the Goods, their packaging and tamper-evident seals and the serial number of each bar, and the Customer and a representative of the Company will each sign a Handover Record recording the handover. If the Customer identifies a discrepancy, or does not sign the Handover Record, handover does not take place and the Goods remain in the Company's custody while the matter is resolved. If the Customer does not produce the required identification, the Company may refuse handover under Clauses 8.7 and 8.9, the Goods remain in the Company's custody and Clause 9.10 applies.

9.6D Effect of the Handover Record: When the Handover Record is signed by the Customer and the Company's representative: (a) the exchange under Clause 9.6A is confirmed in respect of the bars recorded in it; (b) risk in the Goods passes to the Customer under Clause 8.5(b); (c) the Company's custody of the Goods ends, together with any insurance referred to in Clause 8.6 in respect of them; (d) the Customer's Gold Balance is reduced by the weight of the Goods handed over; and (e) the Company will email the Customer a Redemption Note confirming the completed Redemption. The signed Handover Record is evidence of the handover and of the matters recorded in it, and the Company retains a copy as part of its records under the Precious Stones and Precious Metals (Prevention of Money Laundering, Terrorism Financing and Proliferation Financing) Act 2019 and in accordance with the Company's Privacy Policy. Signing the Handover Record does not affect the Customer's rights under Clause 7.3 or under applicable law in respect of Goods that are defective or not in accordance with their description.

9.6E Collection and delivery fees on Redemption: The collection or delivery fee is non-refundable once the Redemption request is confirmed under Clause 9.6, including where the Customer withdraws the request, does not meet the requirements of Clause 8.7 or 9.6C, or does not collect or accept the Goods within the period in Clause 9.10. A confirmed Redemption request may be withdrawn only with the Company's agreement, in which case the reservation of the grams being redeemed is released.

9.7 Storage of Allocated Gold is provided free of charge for a period of three (3) years from the date of the relevant purchase (the "Free Storage Period"), or such longer period as the Company may notify on the Website from time to time. After the expiry of the Free Storage Period applicable to any Allocated Gold, the Company may levy storage fees at the rate specified on the Website, which may be revised from time to time on a prospective basis with at least 30 days' advance notice in accordance with Clause 17.5; any such fees are charged by deducting from the Customer's Gold Balance, at the end of each month, gold to the value of the specified percentage rate. Customers are advised to check the Website periodically for the prevailing storage charges, and the Company may sell such portion of the Customer's stored gold as is necessary to recover unpaid storage charges. Self-collection of Goods upon Redemption (for quantities of 10 grams or more, in whole 10-gram multiples) is subject to a collection fee of S$50.00 in accordance with Clause 9.6; any additional, non-standard or repeat delivery or collection arrangements requested by the Customer are subject to the Company's prevailing charges, which will be quoted or notified at the time of the request.

9.8 The Company may suspend, delay, restrict or refuse immediate trading, price-locking, order acceptance, order processing, sell-back, withdrawal, redemption, delivery, collection, transfer, fulfilment or availability where the Company reasonably considers it necessary or appropriate due to high market volatility, fast-moving market conditions, abnormal pricing conditions, supplier shortages, refinery or mint delays, liquidity constraints, hedging constraints, logistics disruptions, systems issues, compliance concerns, force majeure events or other operational or risk-management reasons.

9.9 Where the Company arranges freight, courier, delivery, shipment or insurance at the Customer's request, such arrangements shall be subject to the terms, conditions, exclusions and limitations of the relevant third-party logistics provider, courier, insurer or service provider. Unless otherwise agreed in writing, the Company may determine the method, route, carrier, packaging, insurance arrangement and delivery process for the Goods.

9.10 Where delivery is made available under Clause 9.6(b), deliveries are made only against presentation of government-issued identification matching the Customer and acknowledgment of receipt. Self-collection is completed only in accordance with Clause 9.6C. The Company may decline handover to any person other than the Customer. If delivery fails after two (2) attempts, or Goods remain uncollected (whether by delivery or self-collection) for fourteen (14) days after notice that they are ready, the Goods will be returned to the vault and re-credited as Allocated Gold in the form of the re-allocated bars (unless the Company re-allocates them to one (1) gram bars), the fee paid for that Redemption is not refunded, and any later collection or delivery requires a new Redemption request and payment of the applicable fee under Clause 9.6.

9.11 The Company is not obliged to repurchase Goods that have been physically delivered or collected. Any such repurchase is at the Company's discretion and subject to inspection, authentication and, where applicable, intact tamper-evident packaging, and to the Company's prevailing pricing and fees.

10. RISK DISCLOSURE

10.1 Gold and precious metals prices are volatile and may fluctuate significantly over short periods.

10.2 Past performance is not indicative of future results.

10.3 The value of gold may decline as well as rise, and the Customer may receive less on Sell-back or redemption than the Customer paid to purchase.

10.4 The Company does not guarantee profit, capital preservation, price appreciation, liquidity, availability, immediate Sell-back, immediate withdrawal or any particular market price.

10.5 Market conditions may impact availability, bar premiums, sourcing costs, fabrication timelines, vaulting arrangements, payment processing, delivery timelines, Sell-back availability, redemption availability and the difference between buy and sell-back prices.

10.6 The Customer acknowledges technology, cybersecurity, account-access, payment-provider, vaulting-provider, logistics-provider, bullion-supplier, operational, regulatory and third-party risks associated with buying, holding and redeeming physical gold through an online platform.

10.7 The Customer is solely responsible for assessing the suitability, legality, tax consequences and risks of any transaction, and for making the Customer's own independent decision.

11. CUSTOMER REPRESENTATIONS

11.1 The Customer represents, warrants and undertakes that:

  1. all information, declarations, documents and instructions provided to the Company are true, accurate, complete and not misleading;
  2. all funds used for any transaction are lawfully obtained, owned or controlled by the Customer, and are not proceeds of crime or connected with money laundering, terrorism financing, proliferation financing, sanctions evasion, fraud, tax evasion or other unlawful activity;
  3. the Customer has full legal capacity, authority and power to enter into and perform all transactions and obligations under these Terms;
  4. the transaction complies with all applicable laws, regulations, sanctions, tax obligations, exchange-control rules, import/export rules and other requirements applicable to the Customer;
  5. the Customer is not subject to sanctions, is not acting for or on behalf of a sanctioned person, and will not use the Company's services for any prohibited, unlawful, fraudulent or misleading purpose;
  6. the Customer will notify the Company promptly if any representation, warranty, information, authorisation or document becomes inaccurate, incomplete, expired or misleading; and
  7. the Customer is not an undischarged bankrupt and is not subject to any bankruptcy or insolvency application, order or proceeding, and will promptly notify the Company if this changes.

11.2 The Company may act on instructions given through the Customer's authenticated session on the Website, through the Company's verified support process, or by persons verified under Clauses 17.7, 17.7A or 17.7B. The Company is not obliged to act on instructions received through any other channel and may decline to act pending verification. Any appointment or authority notified to the Company remains valid until the Company receives written notice of revocation and has had reasonable time to process such revocation.

11.3 Each Account is held by a single natural person. The Company does not offer joint accounts and does not open Website accounts for companies, partnerships, trusts or other entities; bespoke orders from corporate entities are dealt with under Clause 1.6.

11.4 The Customer shall ensure that all information, documents, contact details, account details, delivery details, payment details, authorised representative details and other information provided to the Company are accurate, complete and up to date. The Customer shall promptly notify the Company in writing of any change, error, omission or inaccuracy in any such information or in any transaction record, account record, invoice, statement, confirmation or other document issued by the Company.

12. COMPLIANCE & AML

12.1 The Company uses Singpass Myinfo for customer identity verification, which is stored as the primary Customer Due Diligence (CDD) record and retained for the periods required under applicable law and the Privacy Policy. To ensure data accuracy and compliance with Singpass/Myinfo retention terms, re-verification events (such as a change in mobile number) must be completed via a fresh Myinfo pull rather than manual edits. A Customer may alternatively provide the same Singpass particulars through a manual form; manual submissions are subject to review and approval by the Company, take longer to verify than automatic Myinfo retrieval, and the Customer may not transact until verification is complete. Where the Company makes Singpass login available, the Customer may also sign in to the Account through the Singpass gateway. Singpass login authenticates the Customer and provides the Company with the Customer's NRIC or FIN to match the Customer to the Account; it does not retrieve Myinfo particulars, which are retrieved only with the Customer's consent as described above. Please refer to our Privacy Policy for further details on data collection and retention.

12.2 The Company may conduct customer due diligence, enhanced customer due diligence, ongoing monitoring, sanctions screening, politically exposed person screening, adverse-media screening, fraud screening, payment-source checks, transaction monitoring and other AML/CFT/CPF or risk-management checks.

12.3 The Company may suspend, delay, hold, reject, reverse, cancel or refuse transactions, payments, accounts, withdrawals, redemptions, deliveries, collections or instructions where required or permitted by law, regulation, regulator guidance, court order, sanctions requirement, AML/CFT/CPF requirement or the Company's internal policies.

12.4 Suspicious transactions, attempted transactions, account activity, payment activity, delivery activity or customer information may be reported to competent authorities without notice to the Customer where required or permitted by law. The Company may be prohibited from informing the Customer about such reports, checks or communications.

12.5 All orders, requests and instructions are subject to the Company's acceptance. The Company may decline, delay, suspend, reject, reverse or refuse to act on any order, request or instruction where the Company considers it reasonable or necessary to do so, including where:

  1. the instruction is ambiguous, incomplete, unclear, inconsistent or impracticable;
  2. the Company is unable to verify the Customer's identity, authority, beneficial ownership, account ownership, payment source, source of funds, source of wealth, transaction purpose or delivery details;
  3. there are unpaid, overdue or outstanding amounts owing to the Company;
  4. the transaction may breach applicable law, regulation, sanctions, AML/CFT/CPF requirements, card-network rules, payment rules or the Company's internal policies;
  5. the transaction may create operational, legal, financial, market, settlement, delivery, storage, fraud, security or reputational risk for the Company; or
  6. the Company is unable to obtain confirmation from any relevant third-party service provider, logistics provider, storage provider, insurer, refinery, supplier, vaulting provider, bank or payment provider.

12.6 The Company shall not be liable for any loss, delay, price movement, opportunity cost, payment cost or other consequence arising from such decline, delay, suspension, rejection, reversal or refusal, except to the extent such liability cannot be excluded under Singapore law.

12.7 Loss of verification or payout eligibility: Where the Customer ceases to hold a valid, active Singpass account, ceases to maintain an eligible PayNow proxy, or otherwise ceases to satisfy Clause 1.6 (including upon expiry of a pass held by a FIN holder), the Company may suspend further purchases and require the Customer, within ninety (90) days of notice, to: (a) restore eligibility; (b) sell back the Gold Balance for payout to the Customer's still-valid verified PayNow proxy; or (c) complete the Company's enhanced verification process (including certified identity documents, proof of a bank account in the Customer's own name and such video or other verification as the Company requires), following which the Company may remit proceeds by bank transfer, including to an overseas account in the Customer's own name, with remittance costs deducted. If the Customer takes none of these steps within the ninety (90) day period, Clause 17.6 applies as if the Account were inactive, save that the Company may treat the Account as ineligible for further trading and may, after issuing at least two further notices to the Customer over a period of not less than six (6) months, sell back the Gold Balance and deal with the proceeds in accordance with Clause 6.10 or 6.13, notwithstanding the inactivity timeframes in Clause 17.6, where the Company reasonably considers this necessary to maintain compliance with its AML/CFT/CPF obligations.

13. LIMITATION OF LIABILITY

13.1 To the fullest extent permitted by law, the Company shall not be liable for:

  1. market price fluctuations, differences between buy and sell-back prices, premiums, payment charges, foreign exchange movements or changes in gold availability;
  2. loss of profit, loss of revenue, loss of opportunity, loss of goodwill, loss of anticipated savings, business interruption or loss of data;
  3. indirect, consequential, special, exemplary or punitive loss or damage;
  4. acts, omissions, delays, insolvency, negligence, default or failure of any third-party provider beyond the Company's reasonable control;
  5. incorrect, incomplete, delayed or unauthorised instructions, account compromise, customer-device compromise or customer-email compromise; or
  6. any loss arising from suspension, cancellation, delay, rejection, compliance review, payment review, force majeure, market volatility or Website unavailability.

13.2 The Company's total aggregate liability arising out of or in connection with these Terms, any transaction or any related service shall not exceed the purchase price of the relevant Goods or Allocated Gold, or where applicable the value of the Customer's relevant Gold Balance at the time the claim arises, less any amounts owed by the Customer to the Company.

13.3 The Customer acknowledges that the Company may engage or rely on third-party service providers, including banks, payment providers, logistics providers, storage providers, insurers, refineries, bullion suppliers, technology providers, cybersecurity providers, contractors, agents, affiliates and Vaulting Providers. The Company shall be liable for exercising reasonable care in the selection and ongoing monitoring of such third-party providers. In the event of an act, omission, delay, failure, insolvency, default or negligence of any such third-party provider, the Company shall use reasonable efforts to pursue claims against the relevant provider or their insurers. Any net insurance or claims recoveries (after deducting all reasonable recovery costs, legal fees and administrative expenses) will be passed through to affected Customers on a pro-rata basis. Except as stated in this Clause 13.3, the Company shall not be liable for the acts or omissions of third-party providers unless caused by the Company's fraud, wilful misconduct or gross negligence.

13.4 The liability exclusions, limitations and protections under these Terms shall apply for the benefit of the Company and its directors, officers, employees, agents, affiliates, successors, assignees and appointed third-party service providers.

13.5 Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under Singapore law.

14. FORCE MAJEURE

14.1 The Company shall not be liable for delay or failure in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, civil commotion, embargoes, government action, acts of civil or military authorities, sanctions, regulatory action, fire, floods, accidents, epidemics, pandemics, strikes, labour disputes, supply-chain disruption, refinery or mint disruption, bullion-market disruption, vaulting-provider disruption, courier disruption, customs delay, payment-system failure, banking disruption, internet outage, cyber incident, data-feed failure, system failure, power failure or market closure.

14.2 During a force majeure event, the Company may suspend, delay, restrict, cancel, amend or defer any affected transaction, account function, Website function, delivery, withdrawal, redemption, Sell-back, collection, payment, fulfilment or service.

14.3 If a force majeure event under Clause 14.1 continues for a continuous period exceeding ninety (90) days, either party may terminate the affected transaction or, in the case of the Company, the relevant service, by written notice to the other, without liability for such termination, save that the Company shall continue to hold and safeguard any Allocated Gold or Gold Balance in accordance with Clause 8.2 and shall give effect to any Sell-back, redemption or delivery instruction that can reasonably be fulfilled once the force majeure event ends.

15. WEBSITE USE

15.1 All content on the Website, including prices, charts, commentary, product descriptions, gold-backing information, availability, tools, price-checker outputs, educational materials and other materials, is provided for general information only and may be updated, amended or removed at any time without notice. Website content does not constitute financial, legal, tax or other professional advice.

15.2 The Company does not warrant that access to the Website will be uninterrupted, timely, secure or error-free, or that the Website or any content will always be available. The Company may suspend, withdraw, discontinue, restrict or change any part of the Website at any time, including for maintenance, security, market volatility, systems issues, compliance concerns or other operational reasons.

15.3 Website content is provided on an "as is" and "as available" basis without warranties of any kind. While the Company uses reasonable efforts to keep information accurate and up to date, the Company makes no representation or warranty as to completeness, accuracy, reliability, suitability, timeliness or availability. Prices and availability are subject to confirmation in accordance with these Terms and Price Lock terms.

15.4 The Company uses reasonable security measures; however, the Company does not warrant that the Website, emails, files, downloads or links will be free from viruses, malicious code or harmful components. The Customer is responsible for implementing appropriate IT security safeguards, including secure devices, strong passwords, two-factor authentication where available and virus protection.

15.5 The Website may contain links to third-party websites, content, tools, payment pages or services. Such links are provided for convenience only. The Company does not control and is not responsible for third-party websites, content, products, services, security practices, privacy practices or availability, and does not endorse them.

15.6 The Customer agrees to use the Website lawfully and must not:

  1. adapt, alter, circumvent, interfere with, disrupt or attempt to gain unauthorised access to the Website, content, servers, networks, systems or accounts;
  2. scrape, harvest, crawl, copy, reverse engineer or systematically extract data, pricing, account information, code or content without written consent;
  3. introduce viruses, malware, bots, scripts or harmful code;
  4. misuse the Website in a way that could impair performance, availability, integrity, security or reputation;
  5. use the Website for any unlawful, fraudulent, abusive, misleading or unauthorised purpose; or
  6. attempt to manipulate pricing, rate locks, checkout flows, payment processing, account balances, Gold Balances or records.

15.7 The Website is owned and operated by the Company. All intellectual property rights in and to the Website and its content, including text, graphics, logos, images, videos, tools, pricing engines, software, code, programmes, data, workflows, user interface, design, trademarks and trade names, are owned by or licensed to the Company and are protected by applicable laws. No rights are granted to the Customer other than a limited, revocable, non-exclusive right to access and use the Website for personal or internal business purposes.

15.8 Reproduction, distribution, modification, publication, framing, transmission, scraping, data extraction, resale, licensing or commercial exploitation of the Website or its contents without the Company's prior written consent is prohibited.

15.9 If the Customer submits any information through the Website, including account details, forms, documents, feedback, price-checker inputs, payment details or messages, the Customer warrants that the information is accurate, lawful and does not infringe third-party rights. The Company may process such information in accordance with its Privacy Policy and applicable law.

15.10 If the Customer chooses, or is provided with, a user identification code, password, one-time password, authentication key or any other security credential (including the Singpass credentials and Singpass app used for Singpass login), the Customer must treat such information as confidential and must not disclose it to any third party. Any unauthorised access resulting from disclosure, weak security, compromised devices, compromised email accounts or failure to protect credentials is at the Customer's own risk.

15.11 The Company reserves the right to disable any user identification code, password, account, feature or access method at any time where it reasonably considers such action necessary. If the Customer knows or suspects that any person other than the Customer has access to the Customer's credentials or account, the Customer must promptly change the credentials and notify the Company.

15.12 To the fullest extent permitted by law, the Company shall not be liable for any loss or damage arising out of or in connection with the Customer's use of or inability to use the Website, including any direct, indirect, consequential or economic loss, loss of profits, loss of data or business interruption, whether arising in contract, tort, negligence or otherwise.

16. GOVERNING LAW

16.1 These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of Singapore.

16.2 The courts of Singapore shall have exclusive jurisdiction to hear and determine any dispute arising out of or in connection with these Terms, the Website, any transaction, any account or any related service.

17. GENERAL

17.1 No waiver of any provision of these Terms shall be effective unless in writing and signed by the Company. No failure or delay by the Company in exercising any right shall operate as a waiver. A single or partial exercise of any right shall not preclude any further exercise of that right or any other right.

17.2 If any provision of these Terms is held to be invalid, illegal or unenforceable, the provision shall apply with the minimum modification necessary to make it valid, legal and enforceable, and the remaining provisions shall continue in full force and effect.

17.3 Except as expressly provided for the benefit of the Company's directors, officers, employees, agents, affiliates and appointed third-party service providers, a person who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any term.

17.4 The Company may assign, transfer, novate or subcontract its rights and obligations under these Terms to any affiliate, successor, assignee, acquirer, service provider or other party. The Customer may not assign, transfer, novate or subcontract any rights or obligations without the Company's prior written consent.

17.5 The Company may amend, update or replace these Terms from time to time. For material adverse changes that negatively affect existing holdings (including, without limitation, changes to fees, holding periods, or redemption rights), the Company will provide at least 30 days' advance notice via the Website or email. During this 30-day notice period, the Customer may elect to sell back or redeem their existing holdings under the terms in effect prior to the change. For all other amendments, the revised Terms apply from the date of publication or notice. Transactions entered into before the date of any amendment continue to be governed by the Terms in force at the time of the relevant transaction, unless otherwise agreed.

17.6 Account Closure and Dormancy: The Company may close any Account that has a zero Gold Balance and remains inactive for a period of 12 months or more, after making reasonable efforts to contact the Customer. Where an inactive Account holds a Gold Balance, the Company will not liquidate that Gold Balance by reason of inactivity alone. Instead, after 12 months of inactivity the Company may suspend trading on the Account and will make escalating efforts to contact the Customer. Liquidation of a funded Account's Gold Balance will be applied only as a last resort, and only after the Account has remained inactive for at least 24 months and the Company has issued multiple notices to the Customer, or where liquidation is otherwise required by law. Upon any such liquidation, the proceeds, less any applicable fees and costs, will be paid in accordance with Clause 6.10 or, where payout fails, held in accordance with Clause 6.13. Closure of an Account starts the applicable record-retention period under the Precious Stones and Precious Metals (Prevention of Money Laundering, Terrorism Financing and Proliferation Financing) Act 2019 and the Company's Privacy Policy.

17.7 Deceased Customers and Estates: The Customer's personal representatives or next-of-kin should notify the Company of the Customer's death as soon as reasonably practicable. Upon notice, the Company will suspend trading and payouts on the Account.

  1. The Company will not liquidate the Gold Balance of a deceased Customer by reason of death alone. The Gold Balance remains subject to market price movements, and storage continues on the same terms, until valid instructions are received or Clause 17.6 applies.
  2. The Company will act on the instructions of the executor or administrator of the estate upon verification of: (i) the death certificate; (ii) the grant of probate or letters of administration (or an equivalent foreign grant, together with such legal confirmation as the Company reasonably requires); and (iii) the identity of the personal representative, verified through the Company's enhanced verification process.
  3. Small estates: Where the value of the Gold Balance does not exceed S$10,000, the Company may, at its discretion and without requiring a grant, liquidate the Gold Balance and release the proceeds to the deceased's next-of-kin against a statutory declaration of entitlement, supporting identity and relationship documents, and a written indemnity in the Company's favour. The Company may instead refer the estate to the Public Trustee, and nothing in these Terms obliges the Company to release funds without a grant.
  4. Notwithstanding Clause 6.10, estate proceeds will be paid by bank transfer to a Singapore bank account of the estate or of the verified personal representative (or, at the Company's discretion, to the verified personal representative's own PayNow proxy). The Company will not make payouts to the deceased Customer's PayNow proxy.
  5. If no personal representative or entitled claimant comes forward, Clauses 17.6 and 6.13 apply, with notices given to the Customer's last known contact details and, where known, next-of-kin.

17.7A Mental Incapacity: Where the Company receives evidence that a Customer lacks mental capacity, it may suspend trading on the Account and act on the instructions of a deputy appointed by the Court or a donee under a Lasting Power of Attorney registered with the Office of the Public Guardian, upon verification of the relevant order or instrument and the identity of the deputy or donee. Notwithstanding Clause 6.10, payouts may be made to the Customer's own verified PayNow proxy or bank account, or as the deputy or donee lawfully directs.

17.7B Bankruptcy: The Customer must notify the Company promptly upon the making of any bankruptcy application or order against the Customer. The Company may suspend the Account upon becoming aware of bankruptcy proceedings and may deal with the Gold Balance and any proceeds only in accordance with applicable insolvency law and the directions of the Official Assignee or trustee in bankruptcy, notwithstanding Clause 6.10.

17.8 Complaints Handling: Customers may submit complaints by contacting the Company via our support email address at info@finmet.sg.
